CSP Partner Programme – Term Sheet (Draft)

 

Nature of the instrument

  • A time-limited revenue share on CSP subscription revenue.

  • Investors fund development and early growth.

  • In return, they receive a share of CSP’s subscription revenue for 5 years.

  • This is not equity and not a loan. No shares, no voting rights, no fixed interest.

Key commercial terms

  1. Total investor share: 50% of CSP subscription revenue (as defined in final agreements), for 5 years.

  2. Subscription revenue definition:

    • Intention: gross CSP subscription receipts, excluding VAT and refunds.

  3. Duration (earn-out period):

    • 5 years, starting from the month in which CSP first has paying subscribers.

    • After 5 years, all revenue-share obligations cease.

  4. Rounds and amounts:

Each round sells 10% of subscription revenue over the 5-year period. Earlier rounds receive a larger revenue share per £100 invested.

  1. Minimum / maximum investment

  • Minimum: £100

  • Maximum: £10,000 

  1. Payout options

  • Investors can choose monthly, quarterly, or annual distributions (subject to minimum thresholds and final structure).

  • There may be a small bonus for choosing annual payouts, due to lower admin costs.

  1. Reporting

  • Investors receive access to an online investor dashboard showing:

    • Reported subscription revenue figures

    • Their percentage share and accrued entitlement

    • History of payments made

  1. No equity / no governance rights
  • The CSP Partner Programme does not grant shares, voting rights, or control over Sensigence Limited.

  1. No guaranteed returns

  • All payouts depend entirely on CSP’s future subscription revenue.

  • If CSP fails or never reaches meaningful subscriber levels, investors may receive little or no return.
